By accessing or using CoreBuilt ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.

2. Description of Service

CoreBuilt is a cloud-based construction management platform that enables users to manage projects, documents, communications, financial workflows, and related operations.

The Platform is provided as a hosted service. No software is sold or transferred to you.

We reserve the right to modify, update, or discontinue features at any time.

3. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Platform.

4. Accounts & Access

4.1 Account Registration

You agree to provide accurate and complete information and keep it updated.

4.2 Account Responsibility

You are responsible for:

• Maintaining the confidentiality of login credentials
• All activity under your account
• Managing access for your employees or users

CoreBuilt is not responsible for unauthorized access resulting from your failure to secure your account.

5. Subscription & Payment

5.1 Fees

Access to CoreBuilt is provided on a subscription basis. Fees are billed in advance.

5.2 Billing

You agree to pay all applicable fees. Failure to pay may result in suspension or termination.

5.3 Changes to Pricing

We may update pricing with reasonable notice.

5.4 Refunds

All fees are non-refundable unless otherwise stated in writing.

6. License & Use Restrictions

CoreBuilt grants you a limited, non-exclusive, non-transferable right to access and use the Platform for your internal business operations.

You may not:

• Reverse engineer or attempt to extract source code
• Resell, sublicense, or distribute the Platform
• Use the Platform for unlawful purposes
• Interfere with system integrity or performance

7. Acceptable Use

You agree not to:

• Upload malicious code or harmful content
• Attempt unauthorized access to other accounts or systems
• Use the Platform to send spam or abusive communications
• Misuse system resources in a way that impacts other users

We reserve the right to suspend accounts for violations.

8. Data Ownership & Use

8.1 Your Data

You retain ownership of all data you input into the Platform ("Customer Data").

8.2 License to Use Data

You grant CoreBuilt a limited license to use Customer Data solely to:

• Operate the Platform
• Improve services
• Provide support

8.3 Data Responsibility

You are responsible for:

• Accuracy of your data
• Maintaining backups of critical information

8.4 Data Security

We implement reasonable safeguards, but do not guarantee absolute security.

9. Service Availability

CoreBuilt strives to maintain reliable service but does not guarantee uninterrupted access.

The Platform may be unavailable due to:

• Maintenance
• Updates
• System failures
• Third-party outages

10. Third-Party Services

The Platform may integrate with third-party services such as accounting, email, or payment providers.

CoreBuilt relies on third-party providers to deliver key functionality, including communications, document processing, financial integrations, and infrastructure. These services are outside of CoreBuilt's control, and CoreBuilt is not liable for outages, errors, or data issues caused by such providers.

We are not responsible for:

• Availability or reliability of third-party services
• Data handled outside our systems
• Failures caused by third-party integrations

11. Termination

11.1 By You

You may cancel your subscription at any time. Access continues through the billing period.

11.2 By CoreBuilt

We may suspend or terminate access for:

• Violation of these Terms
• Non-payment
• Abuse or misuse of the Platform

11.3 Effect of Termination

Upon termination:

• Your access will be revoked
• You may request your data within a reasonable period

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

We do not guarantee:

• Error-free or uninterrupted service
• That the Platform will meet your requirements
• Any business or financial outcome

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

CoreBuilt shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities

Total liability shall not exceed the amount paid by you in the prior twelve (12) months.

14. Intellectual Property

All rights, title, and interest in the Platform remain with CoreBuilt.

You may not use our branding, trademarks, or materials without permission.

15. Changes to Terms

We may update these Terms periodically. Continued use constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Texas.

17. Venue

Any legal action shall be brought exclusively in the state or federal courts located in Collin County, Texas.

18. Entire Agreement

These Terms constitute the entire agreement between you and CoreBuilt and supersede prior agreements.
